    What is a C-Corporation?

    Defining a business as an C-corporation is primarily done for its tax advantages. While the following explanation will no doubt answer your question as what it is, it is still extremely important that you involve an attorney or a CPA in your decision making process. They will be used in most of your future business negotiations and dealings, so now is an excellent time to involve them.

    A C-Corporation has very little in the way of ownership restrictions. In other words, owners could exceed the 75 maximum for s-corps, have shareholders that might be other corporations and shareholders may reside anywhere in the world. However, they must pay corporate taxes. C-corps usually share profit among the shareholders which can create a double taxation scenario.

    C-corps are not allowed to take deduction for the dividends they pay their shareholders. Shareholders, though, are required to pay taxes for their share of the profits.
